Franchise Disclosure Documents (FDD) and Registration
The law governing franchise disclosure is complex and only experienced lawyers will have the ability to navigate this area of the law. Our network of franchise lawyers provides for our clients the skills necessary for either a start-up or seasoned franchisor to comply nationwide with federal and state franchise disclosure and registration requirements. The Federal Trade Commission’s (FTC) franchise rules makes it mandatory that franchisors provide to a prospective franchisee a franchise disclosure document (FDD) before completing the sale of a franchise to a potential franchisee. The FDD must be provided under strict timelines to avoid issues. Furthermore, some states require that the FDD be registered with a State agency.
Our firm’s network, can assist in the preparation FDDs as required by the FTC. We can also prepare interrelated agreements so that the franchisor is compliant with all applicable state and federal regulations. As mentioned above in some states such as California, Hawaii, Illinois, Indiana, Maryland, Minnesota, New York, North Dakota, Rhode Island, South Dakota, Virginia, Washington and Wisconsin, registrations are required before the FDD can be provided to potential franchisees and used to sell a franchise in that state. We can also help with this registration.
